Terms of Service

1. Introduction
These Terms of Service ("Terms") govern the relationship between SlothStudio Co ("SlothStudio", "we", "us") and any individual or entity ("Client", "you") that engages our services. By commissioning work from SlothStudio, you confirm that you have read, understood, and agree to these Terms in full.
SlothStudio is a digital studio registered in Denmark. All work is carried out remotely. Our primary point of contact is slothstudioco@gmail.com.
2. Scope of Services
SlothStudio provides the following services, among others:
- Custom websites and landing pages
- Web applications and dashboards
- Booking and reservation systems
- E-commerce solutions
- 3D product experiences and interactive visualisations
- Ongoing maintenance, updates, and technical support
The exact scope of work for each project is agreed in writing before work begins, typically in the form of a project brief or proposal.
3. Quotes, Proposals, and Acceptance
All quotes are provided in euros (EUR) and remain valid for 30 days from the date of issue. A project is considered accepted when the Client makes the initial deposit payment (see Section 4) or provides written confirmation of acceptance. Verbal agreements do not constitute acceptance.
Any changes to the agreed scope after acceptance may result in revised pricing and timelines, which will be communicated in advance.
4. Payment Terms
Payment is structured as follows:
- 50% of the agreed project fee is due upfront before work begins.
- 50% of the agreed project fee is due upon completion and delivery of the final deliverables.
All prices are quoted and invoiced in euros (EUR). Invoices are payable within 14 calendar days of the invoice date. Late payments may incur a late fee of 1.5% per month on the outstanding amount.
No refunds are issued once work has commenced. If a project is cancelled by the Client after work has begun, the Client is liable to pay for all work completed up to the point of cancellation.
5. Revisions and Change Requests
Each project proposal includes an agreed number of revision rounds. Revisions beyond the agreed scope are billed at our standard hourly rate, which will be communicated at the time of quoting.
Revision requests must be submitted in writing. We aim to complete revisions within a reasonable timeframe, to be agreed based on project complexity.
6. Intellectual Property
Upon receipt of full payment, the Client receives full ownership of all final deliverables produced by SlothStudio for that project, including source code, design files, and assets, unless explicitly stated otherwise in writing.
SlothStudio retains the right to display and reference the completed work — including screenshots, case study descriptions, and project summaries — in its portfolio, on its website, and in marketing materials, unless the Client requests otherwise in writing before project commencement.
Any third-party assets, fonts, plugins, or libraries incorporated into the project remain subject to their respective licences. SlothStudio is not responsible for ensuring ongoing licence compliance for third-party components after delivery.
7. Confidentiality
SlothStudio treats all Client information shared during the project as confidential. We will not disclose project details, business information, or proprietary data to third parties without the Client's consent, except where required by law.
Clients are similarly expected to treat any unreleased work, methods, or processes shared by SlothStudio as confidential.
8. Client Responsibilities
The Client is responsible for:
- Providing accurate, complete, and timely project briefs, content, and feedback.
- Ensuring they hold the necessary rights to any materials (text, images, logos, etc.) supplied to SlothStudio.
- Testing and reviewing deliverables within a reasonable timeframe after delivery.
Delays caused by the Client — such as late feedback, missing content, or slow approval — may affect project timelines and are not the responsibility of SlothStudio.
9. Warranties and Liability
SlothStudio delivers work with reasonable skill and care, in accordance with the agreed specification. However, we provide no warranty that deliverables will be free of defects after the handover period.
To the maximum extent permitted by law, SlothStudio shall not be liable for any indirect, incidental, consequential, or special damages arising from the use of, or inability to use, our deliverables or services — including but not limited to loss of revenue, loss of data, or business interruption.
Our total aggregate liability to the Client shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.
10. Termination
Either party may terminate a project with 14 days written notice. In the event of termination:
- The Client is liable to pay for all work completed up to the date of termination, calculated on a pro-rata basis against the agreed project fee.
- SlothStudio will deliver all completed work assets to the Client upon receipt of payment for work done.
SlothStudio reserves the right to terminate immediately, without notice, if the Client engages in abusive conduct, requests unlawful work, or materially breaches these Terms.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of Denmark. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the Danish courts.
12. Changes to These Terms
SlothStudio may update these Terms from time to time. The most current version will always be available at slothstudioco.com/terms. Continued engagement with our services after changes are published constitutes acceptance of the updated Terms.
